SignalDesk provides software, data and analytical tools. The service is not a substitute for independent financial, investment, tax, legal or accounting advice.
Signals, alerts, indicators, charts, strategy results, backtests, track-record information and any automated trading functionality made available through Premium are generated or operated using software and are not personalised to your individual circumstances, financial position, investment objectives or risk tolerance.
You are solely responsible for deciding whether to use SignalDesk, whether a particular strategy or signal is appropriate for you, and whether your use of the service complies with the laws and regulatory requirements applicable to you.
SignalDesk does not provide personalised investment, financial, tax, legal or accounting advice.
Nothing on the SignalDesk website, application or service should be understood as a representation that any particular security, cryptoasset, financial instrument, strategy or transaction is suitable for you.
SignalDesk does not assess your financial circumstances, investment objectives or risk tolerance when generating signals or operating strategies.
SignalDesk does not act as your fiduciary, financial adviser, broker or custodian of your funds.
Nothing in these terms is intended to represent that SignalDesk is authorised or permitted to conduct any regulated activity in any jurisdiction where such authorisation or permission is required.
You are responsible for determining whether your use of the service is lawful in your jurisdiction and for obtaining any independent professional advice you consider appropriate.
SignalDesk strategies are generated and operated using predetermined rules, algorithms, statistical analysis, historical data, market data and other software-based processes.
A signal or automated trading instruction is not a guarantee, prediction or representation that a particular transaction will be profitable.
Signals may be generated without taking account of information that may be relevant to your individual circumstances.
Market conditions can change rapidly, and a strategy that has performed well historically may perform poorly or cease to perform as expected without warning.
SignalDesk does not guarantee that any signal, strategy or automated trading system will produce a profit or avoid losses.
Past performance is not a reliable indicator of future performance.
Backtested results are hypothetical and are not actual trading results. They may be affected by assumptions, methodology, data availability, hindsight, selection bias, survivorship bias, transaction-cost assumptions, liquidity assumptions, slippage assumptions and other factors that may cause actual results to differ materially.
Any historical performance, simulated performance or track-record information displayed by SignalDesk is provided for informational purposes only and should not be relied upon as an indication of future results.
Where SignalDesk identifies strategies as having passed an internal testing or selection threshold, this means only that the strategy satisfied SignalDesk's internal criteria at the relevant time. It does not mean that the strategy is suitable for any particular user or that it will remain profitable.
Actual forward or real-money trading results may differ materially from backtested or simulated results.
Trading and investing involve substantial risk of loss. You may lose some or all of the capital allocated to trading strategies.
Automated and algorithmic trading involve additional risks, including:
No technical safeguard can guarantee that an automated order will be executed, rejected, cancelled or processed in the manner intended.
You should only allocate money that you can afford to lose without affecting your ability to meet your ordinary financial obligations.
Where Premium supports automated trading through a connected brokerage account, the brokerage account remains with the brokerage provider and is not held by SignalDesk.
SignalDesk does not take custody of your trading funds and does not provide a facility for withdrawing funds from your brokerage account.
Any permissions granted to SignalDesk through a brokerage API are controlled by the permissions supported by that brokerage and by the credentials or authorisations you provide.
You remain responsible for monitoring your brokerage account and for reviewing the permissions granted to connected applications.
You may revoke or restrict API access through your brokerage where supported. Revocation or restriction may not prevent orders that have already been submitted or are otherwise in the process of execution from being completed.
The fact that SignalDesk does not hold your funds does not mean that use of automated trading functionality is free from regulatory, technical or financial risk.
Market data, prices, charts, indicators, signals and other information may be delayed, incomplete, inaccurate or unavailable.
SignalDesk does not guarantee the accuracy, completeness, timeliness or uninterrupted availability of any information, data feed, signal, strategy or feature.
The service is provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.
SignalDesk uses reasonable technical and organisational measures designed to protect the security of its systems and information.
However, no online service, software, device, network or authentication mechanism can be guaranteed to be completely secure.
You are responsible for maintaining the confidentiality and security of your passwords, authentication methods, devices and any credentials used to access your SignalDesk or brokerage accounts.
You should immediately notify SignalDesk and your brokerage of any suspected unauthorised access or compromise.
You are responsible for:
Nothing on SignalDesk should be interpreted as a guarantee that use of the service is lawful or appropriate in your jurisdiction.
By using SignalDesk's trading, signal or automated-execution functionality, you acknowledge that trading involves significant risks and that you voluntarily assume the risks associated with your use of the service and the decisions you make in connection with it.
Nothing in these terms excludes or limits any liability or obligation that cannot lawfully be excluded or limited under applicable law.
To the maximum extent permitted by applicable law, SignalDesk and its owners, officers, employees, contractors and service providers will not be liable for indirect, incidental, special or consequential losses arising out of or relating to your use of the service.
This includes, where legally permissible, losses arising from loss of profits, revenue, data, trading opportunities or anticipated savings.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Any additional liability limitations, exclusions or financial caps applicable to your use of SignalDesk are set out in the SignalDesk Terms of Service.
To the maximum extent permitted by applicable law, you agree to indemnify SignalDesk and its owners and operators against third-party claims, losses and reasonable costs arising directly from your unlawful use of the service, your material breach of these terms, or your infringement of another person's rights.
This obligation does not apply to the extent that a claim or loss results from SignalDesk's own negligence, fraud, wilful misconduct or other liability that cannot lawfully be excluded.
You must be legally capable of entering into these terms and must comply with all applicable laws and restrictions when using SignalDesk.
You must not use SignalDesk where doing so would violate applicable sanctions, export controls, financial-services restrictions or other applicable laws.
SignalDesk may restrict or refuse access where it reasonably believes that continued use would create legal, regulatory, security or operational risk.
SignalDesk does not represent that its services are authorised, approved or available in every jurisdiction.
Certain activities involving securities, derivatives, cryptoassets or other financial instruments may be regulated activities in particular jurisdictions.
Regulatory requirements may also apply to the communication or promotion of trading signals, strategies, software or cryptoasset-related services, regardless of whether SignalDesk describes its service as informational or non-advisory.
You should not rely on this disclaimer as a determination of the regulatory status of SignalDesk or its services in your jurisdiction.
SignalDesk may update this disclosure from time to time.
Where required by applicable law or the SignalDesk Terms of Service, material changes will be communicated using the notice method specified in those terms.
The "Last updated" date above identifies the date of the most recent revision.
The governing law, jurisdiction and dispute-resolution provisions applicable to SignalDesk are set out in the SignalDesk Terms of Service.
Nothing in this disclosure is intended to replace or override those provisions.
Important: This disclosure is intended to explain material risks and limitations associated with SignalDesk. It is not intended to determine whether SignalDesk or any particular service is subject to regulatory authorisation in any jurisdiction.
