SignalDesk Terms of Service

These Terms of Service ("Terms") govern your access to and use of SignalDesk ("SignalDesk", "we", "us" or "our"), including the SignalDesk website, application, trading signals, software, Premium subscription services and any automated trading functionality we make available.

By creating an account or using SignalDesk, you agree to these Terms. If you do not agree, you must not use the service.

1. The Service

SignalDesk provides software, market information, analytical tools, trading signals and related functionality.

Premium plans may additionally provide functionality that allows you to connect a brokerage account and, where supported and enabled by you, automatically submit orders to that account.

SignalDesk does not hold your brokerage funds. Your brokerage relationship remains between you and your chosen brokerage provider.

The service is not a bank, brokerage account, investment account or deposit account.

The Risk & Disclaimer document forms part of these Terms and is incorporated by reference.

2. No Personalised Investment Advice

SignalDesk does not provide personalised financial, investment, tax, legal or accounting advice.

Signals, strategies, indicators, alerts and automated trading functionality are generated using software and are not based on an assessment of your personal financial circumstances, investment objectives or risk tolerance.

You are solely responsible for determining whether any SignalDesk feature, strategy or transaction is appropriate for you.

Nothing on SignalDesk constitutes a guarantee, recommendation or representation that any particular investment, security, cryptoasset, financial instrument or strategy will be profitable or suitable for you.

You should obtain independent professional advice where appropriate.

3. Eligibility

You must:

  • be legally capable of entering into these Terms;
  • satisfy any minimum age requirement applicable in your jurisdiction;
  • provide accurate and complete account information;
  • comply with all applicable laws and regulations; and
  • comply with the terms and requirements of any brokerage or other third-party service you connect to SignalDesk.

You must not use SignalDesk if doing so would violate applicable sanctions, export controls or other legal restrictions.

We may restrict availability of particular features, instruments or services in certain jurisdictions.

4. Your Account

You are responsible for maintaining the confidentiality and security of your SignalDesk credentials.

You are responsible for all activity conducted through your account, including activity resulting from credentials, API credentials or other authorisations that you have provided or enabled.

You must notify us promptly if you believe that your account has been accessed without authorisation.

You must not share your SignalDesk account with another person or permit another person to use your account except where we expressly permit it.

We may require additional verification information where reasonably necessary for security, fraud prevention, compliance or operational purposes.

5. Brokerage Connections and API Access

Premium may allow you to connect SignalDesk to a supported brokerage account using an API or other authorised integration.

You remain the owner and account holder of your brokerage account.

You are responsible for:

  • selecting the brokerage account you connect;
  • reviewing the permissions granted to SignalDesk;
  • ensuring that the connection is authorised by you;
  • monitoring activity in your brokerage account;
  • maintaining appropriate API and account security; and
  • complying with your brokerage's terms and requirements.

SignalDesk does not control your brokerage's systems.

Brokerage APIs may be unavailable, delayed, changed, restricted or discontinued without notice.

Orders submitted through an automated integration may fail, be delayed, be rejected, be duplicated, execute at a different price than expected, or execute after you believe the automation has been disabled.

You should not rely on cancellation or revocation of API access as an immediate guarantee that previously submitted orders will not execute.

You are responsible for monitoring your connected brokerage account.

6. Automated Trading

Where automated trading is available, you expressly acknowledge that enabling a strategy may result in orders being submitted automatically without additional confirmation from you for each individual transaction.

You are responsible for selecting which strategies to enable and for determining the amount of capital exposed to those strategies.

SignalDesk does not guarantee that an automated strategy will:

  • generate profits;
  • avoid losses;
  • remain profitable;
  • operate continuously;
  • execute every intended order;
  • avoid unintended orders; or
  • operate in accordance with your expectations during all market conditions.

You should maintain appropriate account-level controls with your brokerage where available, including position limits, trading permissions and other risk controls.

7. Trading Risks

Trading and investing involve substantial risk of loss.

You may lose some or all of the capital allocated to trading.

Automated trading introduces additional risks, including software defects, incorrect signals, data errors, connectivity failures, brokerage outages, API failures, market interruptions, latency, slippage, liquidity constraints, market gaps and extreme market conditions.

You should only use money that you can afford to lose.

8. Subscriptions and Billing

Certain SignalDesk features require a paid Premium subscription.

Premium may be offered on a monthly or annual basis at the price displayed to you at the time of purchase.

Unless otherwise stated, subscriptions automatically renew for the same billing period until cancelled.

You authorise our payment provider to charge the applicable subscription fee using your selected payment method.

We may change subscription prices for future billing periods by providing reasonable notice where required by applicable law.

If a payment fails, we may suspend or restrict access to paid features until payment is successfully completed.

Cancellation

You may cancel your Premium subscription at any time through the cancellation mechanism provided by SignalDesk or the applicable payment provider.

Unless otherwise stated, cancellation prevents the next renewal but does not automatically entitle you to a refund for the current billing period.

Your Premium access will normally continue until the end of the period for which you have already paid.

Refunds

Refunds are provided in accordance with our published refund policy and applicable consumer protection law.

Nothing in these Terms limits any statutory cancellation, refund or other consumer rights that cannot legally be excluded.

9. Automated Trading After Cancellation

Cancelling a Premium subscription does not necessarily cancel orders that have already been submitted to your brokerage.

You are responsible for reviewing and, where necessary, cancelling open orders and disabling or revoking brokerage automation when you stop using automated trading.

Where reasonably practicable, SignalDesk may attempt to disable automated functionality associated with a cancelled or suspended account, but you remain responsible for confirming that automation and open orders have been disabled or cancelled at your brokerage.

10. Acceptable Use

You must not:

  • use SignalDesk for unlawful purposes;
  • attempt to gain unauthorised access to SignalDesk or another user's account;
  • bypass authentication, security controls or access restrictions;
  • circumvent rate limits or usage restrictions;
  • interfere with the operation or availability of the service;
  • introduce malicious code, malware or other harmful material;
  • reverse engineer or attempt to extract source code except where expressly permitted by applicable law;
  • scrape or systematically extract SignalDesk data without our permission;
  • resell, redistribute or commercially exploit SignalDesk signals or data without our written permission;
  • use SignalDesk to manipulate markets or facilitate unlawful trading activity; or
  • use the service in a way that could reasonably cause damage to SignalDesk, its users, its infrastructure or third parties.

11. Intellectual Property

SignalDesk and its software, website, interface, branding, designs, databases, algorithms, documentation and other content are owned by or licensed to SignalDesk and are protected by applicable intellectual-property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use SignalDesk for your own lawful purposes during your subscription.

You do not acquire ownership of SignalDesk or any underlying software, algorithms, models, strategies or intellectual property.

You may not copy, modify, distribute, sell, licence, lease, reverse engineer or commercially exploit SignalDesk or its underlying technology except as expressly permitted by us or applicable law.

12. Third-Party Services

SignalDesk may depend on third-party services, including brokerages, market-data providers, payment processors, hosting providers, authentication providers and other infrastructure providers.

Those services are outside our direct control.

We are not responsible for the availability, accuracy, security, policies or performance of third-party services.

Your use of a third-party service may also be subject to separate terms and privacy policies imposed by that provider.

13. Market Data and Information

Market data and other information displayed through SignalDesk may originate from third-party providers.

We do not guarantee that market data, prices, charts, signals or other information are accurate, complete, current or uninterrupted.

Information may contain errors or may become outdated without notice.

You should independently verify information where appropriate before relying upon it.

14. Service Availability and Changes

We do not guarantee that SignalDesk will always be available, uninterrupted or error-free.

We may modify, suspend, restrict or discontinue features or functionality at any time.

Where reasonably practicable, we will provide notice of material changes that substantially reduce the functionality of a paid service.

Nothing in these Terms requires us to maintain a particular strategy, market, brokerage integration or feature indefinitely.

15. Disclaimer of Warranties

To the maximum extent permitted by applicable law, SignalDesk is provided on an "as is" and "as available" basis.

We do not warrant that:

  • the service will be uninterrupted or error-free;
  • signals will be accurate or profitable;
  • strategies will perform as expected;
  • data will always be accurate or timely;
  • orders will always be submitted or executed successfully;
  • the service will be compatible with every brokerage or system; or
  • the service will meet your particular requirements.

Nothing in these Terms excludes any warranty or statutory right that cannot legally be excluded.

16. Limitation of Liability

To the maximum extent permitted by applicable law, SignalDesk and its owners, officers, employees, contractors and service providers will not be liable for indirect, incidental, special or consequential losses arising from or relating to your use of the service.

This includes, where legally permissible, losses relating to lost profits, lost revenue, loss of data, loss of trading opportunities or trading losses.

To the maximum extent permitted by applicable law, our aggregate liability arising from your use of a paid SignalDesk service will not exceed the greater of:

  1. the total amount you paid to SignalDesk for that service during the twelve months preceding the event giving rise to the claim; or
  2. £100.

This limitation does not apply to liability that cannot lawfully be excluded or limited.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that applicable law does not permit us to exclude or limit.

17. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold SignalDesk and its owners and operators harmless from third-party claims, losses and reasonable costs arising directly from:

  • your material breach of these Terms;
  • your unlawful use of SignalDesk;
  • your misuse of the service; or
  • your infringement of another person's rights.

This obligation does not apply to the extent a claim or loss results from SignalDesk's own negligence, fraud, wilful misconduct or other liability that cannot legally be excluded.

18. Suspension and Termination

You may stop using SignalDesk and close your account at any time.

We may suspend or terminate your account where:

  • you materially breach these Terms;
  • we reasonably suspect fraud, abuse or unlawful activity;
  • your use creates a security or operational risk;
  • continued provision of the service would create a legal or regulatory risk;
  • you fail to pay applicable subscription fees; or
  • we discontinue the relevant service.

Where reasonably practicable, we will provide notice before termination unless immediate action is reasonably necessary for security, legal, regulatory or other legitimate reasons.

Termination does not automatically cancel transactions already submitted to a brokerage.

Sections which by their nature should survive termination will continue to apply, including provisions relating to intellectual property, liability, indemnification and disputes.

19. Regulatory and Jurisdictional Restrictions

SignalDesk does not represent that its services are authorised, approved or available in every jurisdiction.

The legal and regulatory treatment of trading signals, automated trading, financial instruments, cryptoassets and related services varies between jurisdictions.

You are responsible for ensuring that your use of SignalDesk is lawful where you are located and where your brokerage activity takes place.

Nothing in these Terms is intended to represent or guarantee that SignalDesk falls outside any particular regulatory regime.

20. Privacy

Your use of SignalDesk is also subject to our Privacy Policy.

Our Privacy Policy explains how we collect, use, store and disclose personal information and other data associated with your use of the service.

21. Changes to These Terms

We may update these Terms from time to time.

Where required by law, we will provide reasonable notice of material changes.

The updated Terms will become effective on the date specified in the updated version.

Your continued use of SignalDesk after the effective date of updated Terms constitutes acceptance of those changes to the extent permitted by law.

22. Governing Law and Disputes

These Terms are governed by the laws of [JURISDICTION TO BE CONFIRMED], subject to any mandatory consumer protection rights that apply to you.

The courts of [JURISDICTION TO BE CONFIRMED] will have jurisdiction over disputes, subject to any mandatory rights you may have to bring proceedings in another jurisdiction.

Nothing in this section prevents you from exercising any statutory consumer rights that cannot legally be excluded.

23. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce a provision of these Terms does not constitute a waiver of our right to enforce it later.

These Terms, together with the Risk & Disclaimer, Privacy Policy and any other documents expressly incorporated into them, constitute the agreement between you and SignalDesk concerning your use of the service.

You may not transfer your rights or obligations under these Terms without our prior written consent.

We may transfer or assign our rights and obligations in connection with a merger, acquisition, restructuring, sale of assets or similar transaction.
